Terms of Service

1. Who you're dealing with

Enclovo is operated by Podovo ApS (CVR: 41 65 03 70), Dallvej 4, 9200 Aalborg, Denmark. In these Terms, "we", "us", and "Enclovo" refer to Podovo ApS; "you" means the person or company using the service.

2. Accepting these terms

By creating an account or using the service you agree to these terms. If you're using Enclovo on behalf of a company, you confirm you have authority to bind it.

3. Account responsibilities

• Provide accurate information and keep it up to date.
• Keep your password confidential — you're responsible for activity under your account.
• Tell us at hello@enclovo.com if you suspect unauthorised access.
• Don't use the service for anything illegal or to infringe someone else's rights.

4. Quotes vs. orders

Submitting a configuration creates a quote. A quote is an offer from us, valid for 30 days from the date we send you the priced version, and may be revised if your configuration changes, materials become unavailable, or our supplier pricing changes during that period.

A quote becomes a binding order the moment you click Accept this quote. From that point you owe the quoted amount and we owe you the enclosure described in the quote.

5. Pricing & payment

• All prices are in Danish kroner (DKK) and exclude VAT unless stated.
• Danish VAT (25%) is added on the invoice for customers without a valid EU VAT number.
• Shipping is calculated separately and shown on the invoice.
• Default payment terms: 14 days net from invoice date, via bank transfer or any other method we offer at checkout.
• Production only starts once payment has been received, unless otherwise agreed in writing.
• Late payments accrue interest in accordance with the Danish Interest Act (Renteloven), and we may suspend orders and accounts while invoices are outstanding.

6. Delivery & lead times

Lead times shown in the configurator and on the quote are estimates based on current capacity. We do our best to hit them but they are not guaranteed. We'll email you if a material supply issue or capacity event delays your order.

Risk of loss transfers to you when the goods are handed to the carrier. We'll provide tracking where available.

7. Returns, defects & cancellation

Custom-made goods

Because every enclosure is custom-built to your specification, the 14-day right of withdrawal under the Danish Consumer Contracts Act (Forbrugeraftaleloven §18) does not apply. Once production has started you cannot cancel the order.

Defects

If the delivered enclosure does not match your accepted specification — wrong dimensions, missing holes, wrong material — email photos and your reference number to hello@enclovo.com within 14 days of delivery and we'll re-make or refund.

Pre-production cancellation

Cancellation before production starts (i.e. before you accept the quote) is free. After accepting but before machining starts you may cancel but you owe any material costs already incurred.

8. Intellectual property

Your designs

You retain all rights to the configurations, holes layouts, logos and other files you upload. You grant us a non-exclusive licence to process them for the purpose of fulfilling your order.

The platform

The Enclovo website, configurator, 3D viewer, and all related software and content are owned by Podovo ApS or our licensors. You get a personal, non-exclusive, non-transferable licence to use the service for its intended purpose.

Don't upload other people's stuff

By uploading a logo or file you confirm that you have the right to do so. If a third-party claims you didn't, you indemnify us against those claims.

9. Acceptable use

You won't use the service to:

• Order enclosures for unlawful purposes (e.g. counterfeiting).
• Reverse-engineer, scrape, or copy the configurator.
• Probe, scan, or attack our infrastructure.
• Resell access to the service.

10. Limitation of liability

To the extent permitted by Danish law, our total liability for any claim related to an order is limited to the amount you paid for that order. We are not liable for indirect or consequential losses (lost profits, lost data, downtime).

Nothing in these Terms limits liability for death or personal injury caused by our negligence, for fraud, or for anything that can't be excluded under Danish mandatory law.

11. Force majeure

Neither party is liable for delay or failure caused by events outside reasonable control — including war, strikes, fires, power outages, carrier failures, or cyber-attacks. We'll do what we reasonably can to mitigate and we'll keep you posted.

12. Suspension & termination

You can close your account any time via /account/profile. We may suspend or terminate accounts that violate these Terms or expose us to legal risk. Orders already in production will still be completed and invoiced.

13. Changes to these Terms

We may update these Terms — usually to reflect a new feature or a change in law. Material changes will be announced via email at least 14 days before they take effect. Continued use after the effective date means you accept the new version.

14. Governing law & disputes

These Terms are governed by Danish law, excluding its conflict-of-law rules. Any dispute is subject to the exclusive jurisdiction of the Danish courts, starting with the District Court of Aalborg.
